Consent to Telehealth Services

This Consent to Telehealth Services (“Consent”) explains what telehealth is and the terms and conditions of using the telehealth services (“Services”) made available through the websites and applications operated by SATIRIX LLC (“SatiRX”, “we”, “us”, or “our”). Through the Services you can obtain an online consultation with an independent, licensed healthcare professional (“Provider”) and receive mail-order pharmacy services for any prescribed medications. Telehealth involves the delivery of healthcare services using electronic communications between a Provider and a patient who are not in the same physical location.

BY CLICKING “I AGREE”, checking a related box to signify your acceptance, or otherwise affirmatively accepting this Consent through the Services, YOU ACKNOWLEDGE THAT YOU HAVE READ, ACCEPTED, AND AGREED TO BE BOUND BY THIS CONSENT. IF YOU DO NOT AGREE, DO NOT CREATE AN ACCOUNT OR USE THE SERVICES.

If you believe you may be having a medical emergency, call 911 or go to the nearest emergency room immediately. Telehealth is not for emergencies.

01. Purpose of This Consent

The purpose of this Consent is to provide you with information about telehealth and to obtain your informed consent to the use of telehealth in the delivery of healthcare services to you by physicians, physician assistants, nurse practitioners, and other licensed clinicians (“Providers”) using the SatiRX platform. All capitalized terms not defined here have the meanings given to them in our Terms & Conditions. For clarity, “we”, “us”, and “our” refer to SATIRIX LLC, and “you” and “your” refer to the person using the Services.

02. Use of Telehealth

Telehealth involves the delivery of healthcare services using electronic communications, information technology, or other means between a Provider and a patient who are not in the same physical location. Telehealth may be used for diagnosis, treatment, follow-up, and/or patient education. Alternative methods of care, such as in-person services, may be available to you, and you may choose an alternative at any time. Always discuss alternative options with your Provider.

03. Telehealth Services

Telehealth services may include asynchronous care, such as submitting your medical history, health questionnaires, and other health information for clinical review. Services may also include telephone or live video consultations with a licensed healthcare provider when clinically appropriate. Telehealth services may include, but are not limited to:

  • Electronic transmission of medical records, photo images, personal health information, or other data between a patient and a Provider.
  • Interactions between a patient and a Provider via audio, video, and/or asynchronous data communications, such as secure messaging and email.
  • Use of data from remote monitoring devices, medical devices, and sound or video files.

04. Benefits of Telehealth

The potential benefits of telehealth include:

  • Easier, more efficient, and less expensive access to medical care.
  • Obtaining medical care and treatment at convenient times.
  • Interaction with Providers without in-office appointments.

05. Risks and Limitations of Telehealth

As with any medical service, telehealth has potential risks and limitations, including:

  • Insufficient information for appropriate medical decision-making, which may require alternative care.
  • The inability to conduct certain tests or assess vital signs in person, which may affect diagnosis or treatment.
  • Potential delays in medical care due to technological failures.
  • Data security breaches that could compromise patient information.
  • Limited treatment options, particularly regarding prescriptions, due to regulatory requirements.

06. Your Relationship With SatiRX

SATIRIX LLC is a technology company that makes available to registered users certain products and services sold or offered by SatiRX or by third-party medical providers, pharmacies, or other vendors. The Services provide access to prescription fulfillment offered by licensed pharmacies (the “Pharmacies”) and connect you with one or more medical groups and the Providers they employ or contract with who offer healthcare services through the platform. By accepting this Consent, you acknowledge and agree that any services you receive from the Pharmacies, medical groups, or Providers through the platform are also subject to this Consent and our Terms & Conditions, and that they are third-party beneficiaries of those terms.

With respect to the Pharmacies, medical groups, and Providers, SatiRX acts solely as a technology platform to connect you with their products and services. We do not control or influence the practice of medicine by any medical group or Provider, each of whom is solely responsible for the medical care and treatment they provide to you. SatiRX makes no representations or warranties about the suitability, reliability, timeliness, or accuracy of the medical care and treatment provided. By accepting this Consent, you acknowledge and agree that SATIRIX LLC is not a healthcare provider and that, by using the Services, you are not entering into a doctor-patient or other healthcare provider-patient relationship with SatiRX.

You acknowledge and agree that a medical group and/or Provider may send you messages, reports, and emails via the Services regarding your diagnosis and/or treatment. It is your sole responsibility to monitor and respond to these communications, and neither SatiRX nor any medical group or Provider will be responsible for any loss, injury, or claim resulting from your failure to read or respond to them or to comply with any treatment recommendations or instructions.

The independent medical provider network, technology platform, and pharmacy partner that support the Services are identified below.

07. Medical Provider Network

Medical services are provided by AyaRx, an independent network of licensed U.S. healthcare providers. You can learn more at https://ayarx.com/.

08. Technology Platform

Uniloop provides the technology and coordination platform used to connect patients with the independent medical provider network and pharmacy partner. You can learn more at https://uniloop.com/.

09. Pharmacy Services

Prescription fulfillment and pharmacy services are provided by e-RxHub, an independent pharmacy partner. You can learn more at https://www.e-rxhub.com/.

10. Service Availability

Telehealth services are available only in jurisdictions where AyaRx providers are licensed to practice and where the pharmacy partner is authorized to dispense and ship prescribed medications. Branded medication options may be available in all 50 U.S. states. Compounded medication offerings are currently unavailable in Alabama, Louisiana, and Mississippi; we do not provide those compounded offerings in those states and do not permit residents there to order them. Services are not offered in jurisdictions where our provider network does not have an appropriately licensed healthcare provider.

During registration, patients will be asked to provide their residential address and ZIP code. This information is used to confirm service availability, determine treatment eligibility, and connect the patient with an appropriately licensed healthcare provider and pharmacy. A patient's eligibility is verified based on their location before treatment is approved or a prescription is issued.

Because state laws and licensing requirements vary, the availability of providers, medications, pharmacy services, and treatment options may differ based on the patient's location. Patients will be notified if services are unavailable in their jurisdiction.

11. Patient Responsibilities

By agreeing to this Consent to Telehealth Services, you acknowledge and understand the following:

  • You have read and understood the risks and benefits of telehealth services.
  • You give informed consent to receive medical care and treatment by telehealth from affiliated Providers.
  • The use of telehealth in your medical care may include technology not specifically described in this Consent.
  • No specific benefits or results can be guaranteed; your condition may not be cured or improved and may worsen in some cases.
  • You have a duty to answer questions about your health and medical history honestly and accurately, and to keep all healthcare providers up-to-date on any changes.
  • Withholding or providing inaccurate information may result in harm or even death.
  • Providers may determine that your condition is not suitable for telehealth treatment, and you may need to seek alternative care.
  • Telehealth services enable coordination and communication with a Provider and do not replace your relationship with your existing healthcare providers.
  • In case of a medical emergency, you should call 911 and seek immediate medical treatment.

12. Side Effects Acknowledgment

Everyone's weight-loss journey is unique, and some common side effects of weight-loss medication may include:

  • Nausea.
  • Upset stomach (such as gas, bloating, and indigestion).
  • Diarrhea.
  • Constipation.
  • Fatigue, especially during the first few weeks of treatment.
  • Belching.
  • Injection-site reactions (redness, swelling, discomfort).
  • Vomiting.
  • Stomach (abdominal) pain.

These side effects are usually mild to moderate and often improve over time as your body gets used to the medication. While it is normal to experience some mild to moderate side effects as your body adjusts, certain severe side effects require immediate medical attention. If you experience any of the following, please consult your regular in-person healthcare provider immediately:

  • Severe allergic reactions — such as difficulty breathing, swelling of the face or throat, or a severe rash.
  • Pancreatitis — characterized by severe abdominal pain that may spread to the back.
  • Kidney problems — particularly if you experience severe vomiting or diarrhea, which can lead to dehydration.
  • Gallbladder problems — such as gallstones or inflammation, or changes in heart rate.
  • Severe gastrointestinal issues — like persistent, severe nausea, vomiting, or diarrhea.

By agreeing to this Consent, you acknowledge that you have read and understood the information provided regarding the potential side effects and risks associated with any medication prescribed to you. You agree to follow the recommended guidelines and to seek immediate medical attention if you experience any severe side effects as outlined. You also understand that it is your responsibility to inform your healthcare provider of any unusual or persistent symptoms during your treatment, that you agree to comply with the prescribed treatment plan, and that you are aware of the necessary precautions to ensure your safety and well-being.

13. Pregnancy and Breastfeeding Precaution

The FDA warns that these medications could harm a developing baby if you become pregnant while taking them. Oral contraception (“the pill”) may not work well enough on its own, because the medication can reduce its effectiveness, so you may need to use condoms, an IUD, or an implant for birth control instead.

The FDA recommends that, for the first month after starting a weight-loss medication and for the first month after any dose increase, you keep taking your oral contraception and also use a barrier method such as condoms to prevent pregnancy — or switch to a non-oral method like an IUD or implant before starting the medication. When you stop taking the medication, keep using a backup method such as condoms for two months to make sure the medication is entirely out of your system before trying to become pregnant.

It is also unclear whether the medication is safe while breastfeeding. If you are breastfeeding, check with your doctor for safe weight-loss options. By agreeing to this Consent, you acknowledge that you understand the information above.

14. Privacy and Data Security

Your information, including personal health information, will be collected, used, shared, and protected as described in our Privacy Policy at https://satirx.com/privacy.

You have the right to access your health and wellness information pertaining to telehealth consultations in accordance with applicable laws and regulations. Your telehealth records will be shared with other healthcare providers only with your consent and at your request.

15. Consent Withdrawal

You may withhold or withdraw this Consent at any time by emailing us at support@satirx.com with such instructions. Withdrawing your Consent will not affect any action taken before we received your request. Otherwise, this Consent will be considered renewed upon each new telehealth consultation with a Provider.

16. Acceptance

By checking the “Agree” box or otherwise affirmatively accepting this Consent, you accept this Consent to Telehealth Services and confirm that you understand and agree to the terms and conditions outlined above.
